Datalex customers include Air China, Aer Lingus, Air Malta, Copa Airlines, Continental Airlines, Delta Air Lines, Frontier Airlines, Philippine Airlines, South African Airways, STA Travel, SITA airlines and United Airlines.

The Datalex Travel Distribution Platform is a comprehensive portfolio of products that enables advanced air and ancillary pricing, shopping and merchandizing of multiple products and services across multiple sales channels. Each year, over 90 million travel bookings are processed through TDP software.

Management Team

Cormac Whelan

Cormac Whelan has served as Datalex CEO since 2005 where he and his team oversee the delivery of the company strategy. He also serves on the Datalex board. Previously Cormac ran Worldwide Operations at PeopleSupport (NASDAQ: PSPT), a Los Angeles and Manila based online support and customer management services company established in 1999, with 5,000 employees. Cormac also held positions of V.P., G.M. and Finance Director at Epicor Software Corp (NASDAQ: EPIC), an Irvine, CA-based ERP provider. He was responsible for teams in 25 countries and part of a management team that changed the strategy and direction of the company in 1995 and quadrupled revenues over the next three years. Cormac is also a board member at Ocado Technology Ltd and 1969 Records. Cormac holds a BA in Accounting and Finance from Dublin City University.

 

David Kennedy

David joined Datalex as Chief Financial Officer and Company Secretary in October 2007 and was appointed to the Board as Finance Director in December 2008. Prior to joining Datalex he was Financial Controller of ESB International, the international engineering and consultancy group based in Dublin, with operations in over 20 countries. Before this he held a number of senior finance and strategy roles within ESB Group, the Irish electricity utility. David is a Fellow of The Institute of Chartered Accountants in Ireland, and holds an MBA from the Smurfit School of Business at University College Dublin.

 

Aidan Brogan

Aidan Brogan is the Senior Vice President of Sales and joined Datalex in 1994. Aidan is a leading strategist in travel distribution and has been instrumental in building the leading product and market position for Datalex. With nearly 20 years’ experience in the airline and travel industry, Aidan’s background includes project management, system design, product development, marketing, business planning and international sales. Previous to this Aidan served a variety of roles for Westinghouse in Dubai, UAE, in its airline and travel business in the Middle East such as Regional Sales Manager and a range of support and development roles.

 

Gianni Cataldo

Gianni Cataldo is a recognized industry pioneer with experience in leading and implementing many ‘firsts’ for the industry’; the first travel XML data interface,  the first internet connected travel agency and the first WAP based internet booking engine.  With over 20 years’ experience in travel technology Gianni is an innovative leader and continues to inspire and lead new innovations in travel distribution. As Vice President and General Manager Americas Gianni has responsibility for Datalex business in the Americas region. Gianni is an integral part of Datalex’s rising success and leadership in the next generation of distribution and merchandizing solutions. Gianni currently serves on the board for OpenTravel Alliance. He holds an Honors Degree in Computing Science from Paisley University in Scotland. He now lives with his family in Atlanta Georgia.

 

Alan Dunne

Alan Dunne is Chief Technology Officer at Datalex and has over 10 years’ experience in the travel technology industry. Since joining Datalex in 1997, Alan has held various senior roles including Software Engineer, Architect and Chief Architect. During his career in Datalex, Alan has overseen the design and development of several iterations of the company’s product suite and its deployment to many of the worlds leading airlines and travel agencies. As CTO, Alan is responsible for design and architecture within Datalex and also manages the Research and Development team. Alan holds a BSC in Computer Science from Trinity College Dublin.

 

Malachi Faughnan

Malachi Faughnan has over 20 years’ experience in airline and travel system design and development. He has led the design of complex and industry pioneering systems for some of the world’s largest airline, rail and travel distributors. As CIO of Datalex, Malachi has responsibility for Datalex product strategy and oversees millions of dollars in product investment each year. Malachi is a member of the OpenTravel Alliance and Open Axis Group and consults with senior industry executives as a respected distribution strategist and thought leader.

 

Ornagh Hoban

Ornagh Hoban is Vice President for Marketing and Strategy at Datalex and has responsibility for market and product strategy, industry partnerships and marketing communications. Ornagh has 10 years’ travel industry experience and has held a number of executive roles in sales, business development and product marketing.  Professional experience also includes business development roles within the oil & gas industry and tenure with the European Commission. Ornagh holds an honors degree in Commerce from the Universite Blaise Pascal and an honors degree in Management Studies from the University of Ulster.

 

Karen O’Mahony

Karen O’Mahony is the Vice President of Delivery and Organisational Change and joined Datalex in 2005. Karen is responsible for all customer project delivery within Datalex and for driving continuous organizational improvement within the broader organization. Karen is passionate about delivery on our customer promises and continually driving efficiency and satisfaction in how we engage. Karen has over 20 years’ experience across a variety of industries including travel, tour operator and call centre software. Karen’s background includes general management, business unit management, project delivery, customer service, technology delivery, intellectual property consulting and organizational change. Previous to her role in Datalex, Karen served in a variety of roles for organizations such as Abbey Tours, MCPS and Conduit.

 

Padraig O’Neill

Padraig O’Neill serves Datalex as Chief Operations Officer, responsible for all of the delivery operations and customer touch points of the company. Padraig joined Datalex in November 2009 having previously worked for Datalex on a management consultancy basis. Prior to this Padraig was Group Commercial Director of VISION Consulting and Managing Director of Ecceleration, the VISION software company. Padraig is passionate about building service and continuous improvement cultures that simplify the engagements between organizations and their customers. Previous to this Padraig has held a variety of roles in both consulting and product companies such as CR2, CardBASE Technologies, Cognotec, Kindle Banking Systems and Goodbody Stockbrokers/AIB. Padraig has worked across multiple industries including technology, public service, construction, utilities, banking, insurance and business and management consulting. Padraig holds a BSC, MBA and is a member of the Harvard Business Review advisory council.

Non-Executive Directors


Paschal Taggart

Paschal Taggart serves as Chairman of the Board. He is a Partner in Cooney Taggart, Financial Consultants in Dublin and advises a number of major Irish companies. He is also Chairman of Orbiscom plc and has been Chairman of a number of major Irish and international concerns including ITG plc, Ireland on Sunday (1998-2001) and Jervis St. Shopping Centre (1995-99). He is a former Director of Rosslough Holdings Ltd. (1995-99) and a former partner in Bastow Charleton (1975-85) and Gilmore Taggart (1985-91).

 

John Bateson

John Bateson was named as non-executive director of Datalex in November 2006. He is a graduate of Trinity College Dublin and, having qualified with KPMG, is a fellow of the Institute of Chartered Accountants in Ireland. John is the Finance Director of International Investment and Underwriting (IIU) and represents IIU on the boards of various companies, both private and publicly quoted. Prior to IIU, John was formerly with the corporate finance department of NCB, Ireland’s largest independent stockbroker.


Simon Calver

Simon Calver is CEO of LOVEFiLM, which was acquired by Amazon in 2011. Previously Simon has held leadership roles in both private growth companies and large multinationals including Worldwide COO, President of Riverdeep, the interactive digital education and productivity software company, and General Manager & VP of Dell’s UK and Ireland Consumer and Small Business operations. Before that he was International VP of Sales Operations for PepsiCola, based in the US and General Manager and VP of PepsiCola UK where he launched Pepsi Max, Pepsi Blue and development of the Pepsi Music activity.  He started his career as a graduate in Unilever and as a strategy consultant at Deloittes. He was a winner of Ernst & Young’s Entrepreneur of the Year 2009 for London and the South East and representing the region in the national finals. He is a Companion of the Chartered Management Institute and is a fellow of the IoD.

 

Roger Conan

Roger Conan is a private investor and company director. He qualified as a Chartered Accountant with KPMG, where he spent four years in General Practice and four years in Corporate Finance.
In 1984 he joined National City Brokers, the forerunner of the NCB Group. He then transferred to Dedeir, an investment company established by Dermot Desmond where he was responsible for the finance and monitoring of a number of investments. In 1990 he was appointed general manager of IFSC South Block Ltd which developed IFSC House. In 2000 he became self employed. He has since advised on finance, strategy and development.

 

Peter Lennon

Peter Lennon has been a non-executive director of Datalex since 1993. A practicing lawyer and partner in the law firm for Lennon Heather & Company, our Irish counsel, he specializes in litigation and advises many Irish underwriters and English underwriters on liability claims matters. He also specializes in aviation law. Peter acts for most of the major carriers operating out of the Republic of Ireland, both in their general aviation matters and also in their aviation claims. A graduate of Trinity College, Peter holds a BA Mod. (Legal Science) and an LLB.

 

Committees

Audit Committee

The Audit Committee met four times during the year and at 31 December 2010 comprised John Bateson, who has recent and relevant financial experience, Peter Lennon and Simon Calver. The Committee members attended all the meetings during 2010. The Finance Director and external auditors are invited to attend meetings of the Audit Committee.

The Audit Committee assists the Board in discharging its responsibilities with regard to financial reporting, the external audit, including reviewing the annual financial statements and any formal announcements relating to the group’s financial performance and reviewing significant financial reporting judgements contained in them, considering the scope of the annual audit, monitoring the extent of non-audit work to be performed by the group’s external auditors to ensure that the provision of non-audit services does not impair their independence or objectivity, monitoring the effectiveness of the audit process, advising on the appointment, re-appointment and removal of the external auditors and review arrangements by which staff of the company may, in confidence, raise concerns about possible improprieties in matters of financial reporting or other matters and reviewing the effectiveness of the group’s internal control system. The terms of reference of the Audit Committee, including its role and the authority delegated to it by the Board, are available on demand from the Company Secretary.

 

Nominations Committee

The Nominations Committee met once during the year and at 31 December 2010, comprised Paschal Taggart, John Bateson and Simon Calver. All Committee members attended this meeting.

The Nominations Committee assists the Board in discharging its responsibilities relating to the composition of the Board. The Nominations Committee is responsible for reviewing, identifying and recommending suitable candidates for appointment as directors. The terms of reference of the Nominations Committee, including its role and the authority delegated to it by the Board, are available on demand from the Company Secretary. The Committee ensures that prior to the appointment of any new director, the candidate has sufficient available time to discharge their duties as a director. Prior to the appointment of directors, the Committee evaluates the balance of skill, knowledge, experience and diversity of the Board, and in light of this evaluation, prepares a description of the roles and capabilities required for the appointments. To facilitate the search for suitable candidates, the Committee uses the services of external consultants.

 

Remuneration Committee

The Remuneration Committee, details of which are presented in the Remuneration Report, assists the Board in determining its responsibilities in relation to remuneration, including making recommendations to the Board on the group’s policy on executive remuneration, determining the remuneration and benefits of the Executive Directors and recommending and monitoring the remuneration of senior management below Board level. The terms of reference of the Remuneration Committee, including its role and the authority delegated to it by the Board, are available on demand from the Company Secretary. The Committee met once during the year, and all members attended.

The Committee has followed the provisions outlined in Schedule B of the Combined Code, relating to the design of performance related remuneration. The Chairman of the Board is not regarded as independent for Combined Code purposes. The Chairman is a member of the Remuneration Committee and absents himself from discussion around his own remuneration. The Committee meets all other criteria outlined in the Combined Code.

Results of Annual General Meeting, 20 April 2011

Dublin, 20 April 2011: At the Annual General Meeting of Datalex plc (“Datalex” or the “Company”) held today at the Company’s offices, East Point Business Park, Dublin 3, Ireland all of the resolutions considered and voted upon by the shareholders were approved.

The full text of each resolution was included in the notice of the meeting circulated to shareholders on 25 March 2011.

In accordance with the Listing Rules two copies of the resolutions passed at the Annual General Meeting have been forwarded to the Irish Stock Exchange.
